report from Bloomberg on Tuesday<\/a> says that Comcast has offered to merge NBCUniversal, which owns NBC, the company’s film and television studios, the Universal Studios theme parks and the Peacock streaming service with Warner Brothers Discovery’s studio and streaming assets, which includes DC Studios, HBO and the HBO Max streaming service.<\/p>\nAccording to the report, the spin-off entities each side is creating – Versant from Comcast and Discovery Global by Warner Brothers Discovery – would not be a part of this deal.\u00a0 Versant would control cable entities like MS NOW, CNBC, and NBCSN, while Discovery Global would control WBD’s cable entities: CNN, TBS, and TNT among others.<\/p>\n
Comcast Offer Not As Cash Heavy As Other Offers<\/h2>\n
According to Bloomberg, the offer for Warner Brothers Discovery from Comcast is more heavily-based in stock, with WBD shareholders receiving shares in the new merged entity.\u00a0 In addition, Bloomberg reports that Warner Brothers CEO David Zaslav would receive a management role in the new company.<\/p>\n
Two other suitors have emerged for WBD, with both offering much more cash in their proposals.\u00a0 Netflix’s deal, reported Monday by Bloomberg, is mostly cash, while Paramount Skydance has offered all cash for WBD using financing from Apollo Global Management, Inc, and at least several Middle Eastern Wealth Funds.\u00a0 Netflix, like Comcast, would only gain control of the streaming and studio properties, while Paramount Skydance’s deal reportedly includes control of all the cable television networks as well.<\/p>\n
